Gabriel India Limited’s board has approved a revamped joint venture agreement with Inalfa Roof Systems Group B.V. for their sunroof-systems business.
Under the new structure, the venture — now named IGSSPL — will see Gabriel India hold 65% while Inalfa retains 35%, reversing the earlier 51:49 proposal.
This change comes after the application for a PN3 approval was rejected by the Indian Ministry of Heavy Industries in August 2024, prompting the re-structure.
Gabriel India currently owns 100% equity in IGSSPL (directly and via nominees); post transaction the ownership will adjust down to 65%, with no fresh capital required at this stage.



The board also approved key ancillary contracts: a revised Technical Collaboration & Alliance Agreement, a Brand License Agreement licensing Inalfa trademarks to IGSSPL, and related implementation accords.
Final execution of the deal remains subject to regulatory green-lights and will trigger timely disclosures per listing norms.
